If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
1 About QuoteMyJunk
QuoteMyJunk is a software-as-a-service (SaaS) platform designed for junk removal businesses. The Platform may include features such as:
- AI-assisted photo estimating
- Quote generation
- Customer management
- Scheduling and dispatching
- Team management
- Customer communication tools
- Reporting and analytics
- Payment integrations
- Third-party software integrations
- Additional features introduced from time to time
1776 Automations may add, modify, or discontinue features at its discretion.
2 Eligibility
To use the Platform you must:
- Be at least 18 years old.
- Have authority to act on behalf of your business.
- Provide accurate account information.
- Maintain current billing information.
- Comply with all applicable federal, state, and local laws.
The Platform is intended solely for business use by junk removal companies and similar service businesses.
3 Accounts
You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity occurring under your account.
- Ensuring only authorized personnel access your account.
- Promptly notifying us of unauthorized access or suspected security incidents.
1776 Automations is not responsible for losses resulting from unauthorized use of your account due to your failure to protect your credentials.
4 Subscription Plans
Access to QuoteMyJunk requires an active subscription unless otherwise stated. Subscription plans may include different pricing, features, usage limits, or support levels. Subscription fees are billed in advance on a monthly or annual basis depending on the selected plan.
Unless otherwise stated:
- Subscription fees are non-refundable.
- Failure to pay may result in suspension or termination of service.
- Taxes are the responsibility of the Subscriber unless otherwise required by law.
5 AI-Assisted Estimating
QuoteMyJunk uses artificial intelligence and other software technologies to assist Subscribers in generating preliminary estimates. The Platform analyzes information provided by the Subscriber, including but not limited to photographs, videos, measurements, written descriptions, and other job-related information.
The Platform is intended to assist businesses in producing faster and more consistent estimates. The Platform does not replace professional judgment or an onsite inspection when one is necessary.
6 Subscriber Responsibilities
Each Subscriber is solely responsible for:
- Determining final prices charged to its customers.
- Reviewing estimates before providing them to customers.
- Confirming job scope.
- Verifying accessibility.
- Verifying labor requirements.
- Verifying disposal requirements.
- Complying with all laws and regulations applicable to its business.
- Maintaining any required licenses, permits, and insurance.
The Subscriber acknowledges that QuoteMyJunk does not determine or guarantee final pricing.
7 No Guarantee of Estimate Accuracy
While QuoteMyJunk is designed to improve estimating efficiency and consistency, no estimate generated by the Platform is guaranteed to be accurate. Estimate accuracy may be affected by factors including:
- Hidden items
- Items not shown in photographs
- Inaccurate measurements
- Limited camera angles
- Obstructed views
- Accessibility conditions
- Weight of materials
- Local disposal fees
- Labor complexity
- Site conditions
- Information provided by the customer
Subscribers are solely responsible for confirming the final scope of work and establishing the final price charged to their customers.
8 Customer Information and Uploaded Content
Subscribers are responsible for ensuring they have the legal right to upload customer information, photographs, videos, and other content to the Platform. Subscribers retain ownership of their customer information and uploaded content.
By uploading content, the Subscriber grants 1776 Automations a limited license to process, store, transmit, and analyze such content solely for the purpose of providing and improving the Platform. 1776 Automations does not claim ownership of Subscriber customer data.
9 Intellectual Property
The Platform, including its software, databases, source code, object code, user interface, algorithms, estimation methodologies, documentation, graphics, trademarks, logos, trade secrets, and other intellectual property, is owned exclusively by 1776 Automations or its licensors.
Except as expressly permitted by these Terms, Subscribers may not:
- Copy the Platform.
- Reverse engineer the Platform.
- Decompile the Platform.
- Modify the Platform.
- Sell or sublicense the Platform.
- Create derivative works.
- Use the Platform to develop competing software.
- Remove copyright or proprietary notices.
QuoteMyJunk and all associated branding are protected by applicable intellectual property laws.
10 Confidential Information
Subscribers agree to protect all non-public information relating to the Platform, including proprietary software, algorithms, pricing methods, documentation, business processes, and technical information disclosed by 1776 Automations.
Such information may not be disclosed to third parties without prior written consent, except as required by law.
11 Third-Party Services and Integrations
The Platform may integrate with or allow connections to third-party products and services, including but not limited to:
- GoHighLevel (GHL)
- Google Calendar
- Stripe
- QuickBooks
- Twilio
- Email providers
- SMS providers
- Payment processors
- Mapping and geolocation services
- Artificial intelligence providers
- Other software selected by the Subscriber
These third-party services are operated independently of 1776 Automations. 1776 Automations does not own or control these services and is not responsible for:
- Their availability
- Their security
- Their performance
- Pricing changes
- Feature changes
- Downtime
- Errors
- Data loss caused by third-party providers
Subscribers are responsible for complying with the terms and privacy policies of any third-party service they choose to connect to the Platform.
12 Fees and Payment
Subscribers agree to pay all applicable subscription fees and any additional charges associated with their selected plan. Unless otherwise agreed in writing:
- Subscription fees are billed in advance.
- Payments are due immediately upon invoice.
- Late or failed payments may result in suspension or termination of service.
- Prices do not include applicable taxes unless expressly stated.
- Subscribers are responsible for any sales, use, or similar taxes imposed by applicable law.
1776 Automations reserves the right to change pricing upon reasonable advance notice.
13 Automatic Renewal
Subscriptions automatically renew at the end of each billing cycle unless canceled before the renewal date. By purchasing a subscription, the Subscriber authorizes recurring charges using the payment method on file.
Subscribers may cancel renewal through their account settings or by contacting customer support. Cancellation prevents future renewals but does not automatically entitle the Subscriber to a refund for the current billing period unless required by law.
14 Acceptable Use
Subscribers agree not to use the Platform to:
- Violate any applicable law or regulation.
- Upload malicious software or harmful code.
- Attempt unauthorized access to any account or system.
- Interfere with the operation or security of the Platform.
- Reverse engineer, decompile, or attempt to discover source code.
- Use automated tools to scrape or copy Platform content without authorization.
- Upload content that infringes intellectual property rights.
- Upload unlawful, defamatory, obscene, or fraudulent content.
- Share account credentials with unauthorized individuals.
- Use the Platform in a manner that could damage, disable, or impair its operation.
1776 Automations may suspend or terminate accounts that violate this section.
15 Data Security
1776 Automations implements commercially reasonable administrative, technical, and physical safeguards to protect Subscriber data. However, no system or method of electronic transmission or storage is completely secure. Subscribers acknowledge and accept the inherent risks associated with internet-based services.
Subscribers are responsible for:
- Securing their own devices.
- Maintaining strong passwords.
- Restricting account access to authorized personnel.
- Promptly reporting suspected unauthorized access.
16 Service Availability
1776 Automations strives to provide reliable access to the Platform but does not guarantee uninterrupted or error-free operation. The Platform may be unavailable due to:
- Scheduled maintenance.
- Emergency maintenance.
- Internet outages.
- Third-party service interruptions.
- Cybersecurity incidents.
- Hardware failures.
- Software updates.
- Events beyond the reasonable control of 1776 Automations.
Temporary interruptions do not constitute a breach of these Terms.
17 Beta Features
From time to time, 1776 Automations may offer beta, preview, or experimental features. Beta features are provided “as is” and may contain bugs, incomplete functionality, or other issues. 1776 Automations may modify or discontinue beta features at any time without notice. Subscribers use beta features at their own risk.
18 Feedback
Subscribers may voluntarily submit comments, ideas, suggestions, enhancement requests, or other feedback regarding the Platform. By submitting feedback, the Subscriber grants 1776 Automations a perpetual, worldwide, royalty-free, irrevocable license to use, modify, publish, incorporate, and commercialize such feedback without restriction or compensation.
Subscribers are not required to provide feedback and will not lose any ownership rights in their own business data by doing so.
19 Disclaimer of Warranties
THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 1776 AUTOMATIONS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF:
- MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY
- RELIABILITY
- UNINTERRUPTED OPERATION
- ERROR-FREE PERFORMANCE
1776 AUTOMATIONS DOES NOT WARRANT THAT:
- THE PLATFORM WILL MEET EVERY BUSINESS REQUIREMENT;
- ESTIMATES WILL ALWAYS BE ACCURATE;
- THE PLATFORM WILL OPERATE WITHOUT INTERRUPTION;
- ALL ERRORS WILL BE CORRECTED; OR
- THE PLATFORM WILL ALWAYS BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
20 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, 1776 AUTOMATIONS, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR ANY:
- LOSS OF PROFITS
- LOSS OF REVENUE
- LOSS OF BUSINESS
- LOSS OF GOODWILL
- LOSS OF DATA
- LOST OPPORTUNITIES
- CUSTOMER DISPUTES
- BUSINESS INTERRUPTION
- INDIRECT DAMAGES
- INCIDENTAL DAMAGES
- SPECIAL DAMAGES
- PUNITIVE DAMAGES
- CONSEQUENTIAL DAMAGES
WHETHER ARISING FROM CONTRACT, NEGLIGENCE, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
IN NO EVENT SHALL THE TOTAL LIABILITY OF 1776 AUTOMATIONS EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY THE SUBSCRIBER DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow certain limitations of liability. Where prohibited by law, portions of this section may not apply.
21 Indemnification
The Subscriber agrees to defend, indemnify, and hold harmless 1776 Automations and its owners, officers, directors, employees, contractors, affiliates, successors, and assigns from any claims, lawsuits, damages, losses, liabilities, judgments, settlements, fines, penalties, costs, or expenses (including reasonable attorneys’ fees) arising out of or relating to:
- The Subscriber’s use of the Platform.
- The Subscriber’s pricing decisions.
- Services provided by the Subscriber to its customers.
- Customer complaints or disputes.
- Violation of these Terms.
- Violation of applicable law.
- Infringement of another person’s intellectual property or privacy rights.
- Content uploaded by the Subscriber.
22 Suspension of Service
1776 Automations may suspend access to the Platform immediately if it reasonably believes that the Subscriber:
- Has violated these Terms.
- Has failed to pay required fees.
- Presents a security risk.
- Is using the Platform unlawfully.
- Is abusing Platform resources.
- Is engaging in fraudulent activity.
1776 Automations will use reasonable efforts to notify the Subscriber when practical.
23 Termination
Subscribers may terminate their subscription at any time by canceling through their account or contacting customer support. 1776 Automations may terminate a Subscriber’s account if:
- The Subscriber materially breaches these Terms.
- Required payments remain unpaid.
- Continued access presents a security or legal risk.
- Required by law.
Termination does not relieve the Subscriber of any payment obligations that accrued before termination. Sections intended to survive termination, including those relating to intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law, shall remain in effect.
24 Force Majeure
1776 Automations shall not be liable for delays or failures to perform caused by events beyond its reasonable control, including but not limited to:
- Natural disasters
- Fire
- Flood
- War
- Terrorism
- Civil unrest
- Government actions
- Labor disputes
- Internet outages
- Utility failures
- Cyberattacks
- Pandemics
- Acts of God
Performance shall resume as soon as reasonably practicable after the event ends.
25 Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the State of Missouri, without regard to its conflict of law rules.
26 Dispute Resolution
Before filing any legal action, the parties agree to make a good-faith effort to resolve disputes through informal negotiations.
If a dispute cannot be resolved informally, either party may pursue available legal remedies in a court of competent jurisdiction located in Missouri, unless otherwise required by applicable law.
Nothing in this section prevents either party from seeking temporary or permanent injunctive relief to protect its intellectual property or confidential information.
27 Entire Agreement
These Terms, together with any policies expressly incorporated by reference, constitute the entire agreement between the Subscriber and 1776 Automations regarding the Platform and supersede all prior agreements, understandings, and communications relating to the subject matter.
28 Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
29 No Waiver
The failure of 1776 Automations to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.
30 Assignment
Subscribers may not assign or transfer their rights or obligations under these Terms without the prior written consent of 1776 Automations.
1776 Automations may assign these Terms without restriction in connection with a merger, acquisition, sale of assets, or other corporate transaction.
